Do you gain honorable kill points if you kill a town guard of the opposing faction?  or just if you kill an actual player?

Yeah, and what is the advantage of having a high number of honorable kills anyway?

The only NPCs that yield experience are racial leaders (such as Thrall or Cairne). And more Honor Kills means more Contribution Points, hence a higher Honor Rank, giving you access to better items.
